Terms & conditions
Welcome to GreenLeaf, a carbon consultancy dedicated to helping small and mid-sized enterprises achieve their sustainability goals. By accessing or using our services, you agree to the following terms and conditions.
1. Definitions
"Company," "we," "our," or "us" refers to GreenLeaf.
"Client," "you," or "your" refers to the business or individual engaging our services.
"Services" means the consultancy, reports, tools, and related materials provided by GreenLeaf.
2. Services provided
Nova Technologies offers specialized engineering and technical services tailored to client needs based on agreed scopes of work. Our core operational sectors include, but are not limited to:
Renewable Energy Solutions: Supply, transport, and installation of solar power, hybrid systems, and critical power infrastructure.
Civil Engineering & Infrastructure: Build-to-Suit (B2S) telecom site construction, metallic structural fencing, and excavation.
Telecommunications & ICT: Fiber optic network deployment (FTTx, Metro Rings, Backbone) and client connectivity solutions.
Technical Consulting: Specialized engineering studies, site surveys, topographic routing, and geotechnical soil testing.
3. Use of services
Clients agree to provide accurate, complete information, site access, and necessary technical data required for the seamless execution and delivery of our engineering projects. You must not misuse our infrastructure, services, or deployment teams, nor use them for any unlawful activities.
4. Fees and payment
All project costs, equipment supply fees, and service rates will be clearly outlined in a formal technical proposal, contract, or Bill of Quantities (BoQ). Payment milestones and credit terms are subject to specific project agreements executed by our corporate management. Late payments may result in the suspension of field operations or incur contractual interest charges.
5. Intellectual property
All technical designs, engineering blueprints, custom reports, and proprietary methodologies developed by Nova Technologies during the engagement remain the exclusive property of Nova Technologies unless explicitly transferred or assigned in writing. Clients receive a non-exclusive, non-transferable license to utilize these deliverables solely for their internal business operations and specified site facilities.
6. Confidentiality
Both parties agree to protect and maintain the strict confidentiality of all sensitive information, corporate records, network topologies, and business strategies shared during the course of the project. This obligation survives the completion or termination of the services.
7. Liability
Nova Technologies conducts its field operations under rigid internal quality and safety values. However, we shall not be held liable for any indirect, incidental, or consequential damages, network downtime, or structural disruptions arising outside our agreed scope of execution. Our total liability is limited strictly to the amount paid by the client for the specific project or service phase directly under dispute.
8. Termination
Either party may terminate the project engagement by providing formal written notice in compliance with the primary contract. Upon termination, the client remains fully responsible for the immediate payment of all services rendered, equipment supplied, and operational work mobilized up to the effective termination date.
9. Changes to terms
We reserve the right to update these Terms and Conditions to realign with technological advancements, industry regulations, or company structural updates. The latest governing version will be communicated to active partners and remain accessible through our official channels.
10. Governing law
These Terms and Conditions are governed by and construed in accordance with the laws of the Democratic Republic of the Congo (RDC). Any unresolved disputes arising from or in connection with these terms shall be submitted to the exclusive jurisdiction of the competent courts of the Democratic Republic of the Congo.
